이용약관Terms of Service

본 약관은 개인사업자 제로투원플로우 (021flow)(대표 류성태, 이하 "회사")가 제공하는 JarvIR 서비스(이하 "서비스")의 이용 조건을 규정합니다. 서비스를 이용함으로써 본 약관에 동의한 것으로 봅니다.

1. 서비스 개요

JarvIR는 투자자 관계(IR), 데이터룸, 매출·재무 계획, 기업 지식 관리와 AI 보조 기능을 제공하는 SaaS입니다. 회사는 서비스의 기능을 수시로 개선·변경할 수 있습니다.

2. 계정 및 워크스페이스

이용자는 정확한 정보로 계정을 생성·유지해야 하며, 계정 자격증명의 보안에 책임을 집니다. 서비스는 회사(테넌트) 단위로 운영되며, 워크스페이스 관리자는 구성원의 접근 권한과 데이터 관리에 책임을 집니다.

3. 요금·구독·결제 (판매대행/MoR)

유료 플랜은 월 구독으로 제공되며 통화는 USD입니다. 결제·인보이스·세금 징수·환불은 회사의 판매대행사(Merchant of Record)인 Paddle.com Market Ltd가 처리합니다. 구독은 해지 전까지 자동 갱신되며, 갱신 시점에 당시 요금이 청구됩니다. 무료 체험이 제공되는 경우 체험 종료 전에 해지하지 않으면 과금될 수 있습니다. AI 작업은 플랜에 포함된 크레딧으로 차감되고, 소진 후에는 종량제로 계속 이용할 수 있습니다. 구독·자동갱신·해지에 관한 상세 내용은 구독 약관을 따릅니다.

카드번호·CVC 등 결제수단 상세 정보는 회사가 직접 저장하지 않으며, 결제대행사(Paddle) 또는 해당 결제 처리자가 처리·보관합니다. App Store·Google Play 인앱결제(앱 결제)는 각 스토어 정책에 따라 별도로 처리되며 본 웹 결제와 구분됩니다.

당사의 웹 주문 절차는 온라인 리셀러인 Paddle.com을 통해 진행됩니다. Paddle.com은 당사의 모든 웹 주문에 대한 Merchant of Record이며, 결제 관련 고객지원 및 환불 처리를 담당합니다.

4. 환불·해지

구독은 언제든 해지할 수 있으며, 해지 후에는 현재 결제 기간 종료일까지 이용할 수 있고 다음 주기부터 청구되지 않습니다. 환불은 구매일로부터 일정 기간 내 요청할 수 있으며, 현지 소비자보호 법령상 강행되는 환불·철회권은 제한되지 않습니다. 자세한 내용은 환불 및 해지 정책을 따릅니다.

EU 소비자는 원칙적으로 온라인 서비스 계약 체결 후 14일 이내에 청약을 철회할 수 있습니다.

대한민국 소비자는 원칙적으로 계약내용 서면을 받은 날부터 7일 이내에 청약을 철회할 수 있으며, 공급이 늦으면 공급 개시일이 기준이 됩니다.

디지털콘텐츠·서비스에는 법정 예외가 적용될 수 있습니다. 즉시 제공 동의만으로 모든 철회권이 자동 소멸하지 않으며, 법정 권리와 회사의 14일 환불 요청 정책은 별도로 적용됩니다.

5. 이용 제한

이용자는 이용제한정책을 준수해야 하며, 불법·침해·악용 행위 시 회사는 이용을 제한·중단할 수 있습니다.

6. 콘텐츠 및 지식재산권

이용자가 업로드·생성한 데이터(이하 "고객 데이터")의 권리는 이용자에게 있습니다. 회사는 서비스 제공 목적 범위에서 이를 처리합니다. 서비스 자체의 소프트웨어·디자인·상표 등 지식재산권은 회사에 귀속됩니다.

7. AI 기능 고지

AI 생성 결과는 참고용이며 정확성·완전성을 보장하지 않습니다. 중요한 의사결정 전에는 이용자가 직접 검증해야 합니다.

8. 보증의 부인·책임의 제한

서비스는 "있는 그대로" 제공되며, 관련 법이 허용하는 최대 범위에서 회사는 묵시적 보증을 부인합니다. 회사의 누적 책임은 직전 12개월간 이용자가 지급한 금액을 초과하지 않습니다.

9. 약관의 변경

회사는 약관을 변경할 수 있으며, 중요한 변경은 서비스 내 공지 또는 이메일로 사전 고지합니다. 변경 후 계속 이용 시 동의한 것으로 봅니다.

10. 준거법·관할

본 약관은 대한민국 법을 준거법으로 하며, 분쟁은 수원지방법원을 1심 관할 법원으로 합니다. 다만 소비자인 이용자가 강행 소비자보호 법령에 따라 가지는 권리와 관할은 제한되지 않습니다.

These Terms govern your use of the JarvIR service (the "Service") provided by Zero to One Flow (021flow), a sole proprietorship represented by Sungtae Ryu (the "Company"). By using the Service you agree to these Terms.

1. The Service

JarvIR is a SaaS platform for investor relations (IR), data rooms, revenue and financial planning, company knowledge management, and AI-assisted features. The Company may improve or change features from time to time.

2. Accounts & Workspaces

You must provide accurate information and keep your credentials secure. The Service operates per company (tenant); workspace administrators are responsible for members' access and data.

3. Pricing, Subscriptions & Payments (Merchant of Record)

Paid plans are monthly subscriptions billed in USD. Checkout, invoicing, tax collection, and refunds are handled by our Merchant of Record, Paddle.com Market Ltd. Subscriptions auto-renew until cancelled and are charged at the then-current price. Where a free trial is offered, you may be charged unless you cancel before it ends. AI actions consume plan credits; after they are used, you may continue on a pay-as-you-go basis. See our Subscription Terms for renewal, cancellation, and tax details.

We do not store full payment details such as card numbers or CVC; these are processed and held by Paddle or the relevant payment processor. In-app purchases via the App Store or Google Play are handled separately under each store's policies and are distinct from these web payments.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

4. Refunds & Cancellation

You may cancel at any time and retain access until the end of your current billing period, with no charge for the next cycle. Refunds may be requested within a set period after purchase, and mandatory refund/withdrawal rights under applicable consumer protection laws are not limited. See our Refund & Cancellation Policy.

EU consumers generally have a 14-day right of withdrawal from the conclusion of an online service contract.

Korean consumers generally have a 7-day right of withdrawal from receipt of the written contract information, or from the start of supply if supply occurs later.

Statutory exceptions may apply to digital content and services. Consent to immediate delivery does not automatically extinguish every withdrawal right. Statutory rights apply separately from our 14-day refund request policy.

5. Acceptable Use

You must comply with our Acceptable Use Policy. The Company may restrict or suspend access for unlawful, infringing, or abusive activity.

6. Content & Intellectual Property

You retain rights to data you upload or generate ("Customer Data"); the Company processes it solely to provide the Service. The Service's software, design, and trademarks remain the Company's property.

7. AI Disclaimer

AI-generated output is for reference only and is not guaranteed to be accurate or complete. Verify before relying on it for important decisions.

8. Disclaimer & Limitation of Liability

The Service is provided "as is." To the maximum extent permitted by law, the Company disclaims implied warranties, and its aggregate liability shall not exceed the amount you paid in the preceding 12 months.

9. Changes

We may update these Terms and will give advance notice of material changes in-app or by email. Continued use constitutes acceptance.

10. Governing Law

These Terms are governed by the laws of Republic of Korea, with jurisdiction in the Suwon District Court. This does not limit any mandatory rights or venue available to consumers under applicable consumer protection laws.
